1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and TaxWhizz.ai Ltd (“TaxWhizz”, “we”, “us”, or “our”), a company registered in England and Wales, governing your access to and use of the TaxWhizz.ai website, platform, and all related services (collectively, the “Service”).

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are accessing or using the Service on behalf of a business, organisation, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall include that entity.

2. Description of Service

TaxWhizz.ai provides an AI-powered tax intelligence platform that offers the following features and functionality:

  • AI Tax Chat: An interactive conversational interface powered by artificial intelligence that provides general tax guidance, explanations of tax concepts, and answers to tax-related questions based on UK tax legislation and HMRC guidance.
  • Tax Calculators: A suite of digital calculators designed to help you estimate tax liabilities, including but not limited to income tax, National Insurance contributions, capital gains tax, dividend tax, corporation tax, VAT, student loan repayments, and pension tax relief.
  • Tax Intelligence Dashboard: A personalised dashboard providing an overview of your tax position, calculation history, and AI chat history.

2.1 Service Limitations

The Service is designed to provide general tax information and guidance only. It does not constitute professional tax advice, financial advice, legal advice, or accounting services. The AI-generated responses and calculator outputs are based on algorithms, publicly available tax legislation, and general interpretations of HMRC guidance. They do not account for the full complexity of individual tax circumstances and should not be relied upon as a substitute for professional advice from a qualified chartered accountant, tax adviser, or other licensed professional.

3. Account Registration

3.1 Eligibility

You must be at least eighteen (18) years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To access certain features of the Service, you must create an account by providing accurate, current, and complete information, including your name and email address. You may also register using a supported third-party authentication provider (such as Google OAuth).

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at support@taxwhizz.ai if you become aware of any unauthorised access to or use of your account. You are liable for all activities that occur under your account, whether or not authorised by you, until you notify us of the breach.

3.4 Account Accuracy

You agree to keep your account information accurate and up to date. We reserve the right to suspend or terminate accounts that contain materially inaccurate or fraudulent information.

4. Subscription Terms and Billing

4.1 Subscription Plans

The Service is offered through various subscription tiers, which may include free and paid plans. The features, usage limits, and pricing applicable to each plan are described on our pricing page and may be updated from time to time. Your access to specific features is determined by your active subscription plan.

4.2 Free Trial

We may offer a free trial period for certain paid subscription plans. Free trials are available to new users only and are limited to one trial per person. During the free trial, you will have access to the features of the applicable plan at no charge. Unless you cancel before the end of the trial period, your subscription will automatically convert to a paid subscription, and you will be charged the applicable subscription fee. We will notify you before the trial ends and a charge is applied.

4.3 Billing and Payment

All paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected by you) through our payment processor, Stripe. By subscribing to a paid plan, you authorise us to charge your designated payment method at the beginning of each billing cycle. All fees are quoted in British Pounds Sterling (GBP) unless otherwise stated and are inclusive of VAT where applicable.

4.4 Price Changes

We reserve the right to modify our subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle following at least thirty (30) days’ prior written notice. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@taxwhizz.ai. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period.
  • You will continue to have access to paid features until the end of that period.
  • No further charges will be applied after the current billing period ends.
  • Your account will revert to the free plan (if available) at the end of the billing period.

4.6 Refunds

Subscription fees are generally non-refundable. However, we may, at our sole discretion, provide a full or partial refund in the following circumstances:

  • A material defect in the Service that we are unable to remedy within a reasonable timeframe;
  • You were charged in error (e.g., duplicate billing);
  • You cancel within fourteen (14) days of your initial subscription purchase and have not substantially used the Service during that period, in accordance with the Consumer Contracts Regulations 2013.

Refund requests should be directed to support@taxwhizz.ai and will be assessed on a case-by-case basis.

5. AI Disclaimer

THE AI-POWERED FEATURES OF THE SERVICE, INCLUDING BUT NOT LIMITED TO THE AI TAX CHAT AND AI-ASSISTED CALCULATORS, GENERATE RESPONSES USING ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGIES. THESE OUTPUTS ARE PROVIDED FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.

You expressly acknowledge and agree that:

  • AI-generated content does not constitute professional tax advice, financial advice, legal advice, or any other form of professional counsel.
  • AI responses may contain errors, inaccuracies, outdated information, or omissions. Artificial intelligence systems, by their nature, can produce incorrect or misleading outputs (“hallucinations”).
  • Tax law is complex and subject to frequent change. AI responses may not reflect the most current legislation, case law, or HMRC guidance.
  • The AI does not have access to your complete financial picture and cannot account for all variables that may affect your tax position.
  • No professional-client relationship is created between you and TaxWhizz.ai through the use of the Service.
  • You should always verify AI-generated information independently and consult a qualified tax professional (such as a chartered accountant or HMRC directly) before making financial decisions based on information obtained through the Service.

TaxWhizz.ai accepts no liability whatsoever for any loss, damage, cost, or expense incurred as a result of reliance on AI-generated content provided through the Service. Please see our Disclaimer for further details.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any purpose that is illegal, fraudulent, or harmful, including but not limited to tax evasion, money laundering, or any activity that violates applicable UK or international law.
  • Attempt to gain unauthorised access to any part of the Service, other users’ accounts, or any systems or networks connected to the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of the Service or its AI models.
  • Use any automated means, including bots, scrapers, crawlers, or data mining tools, to access, collect, or extract data from the Service without our prior written consent.
  • Interfere with, disrupt, or place an undue burden on the Service or the infrastructure supporting it, including through denial-of-service attacks or the transmission of malware.
  • Resell, sublicense, lease, or otherwise commercially exploit the Service or any content generated by the Service without our prior written consent.
  • Upload, transmit, or input any content that is defamatory, obscene, threatening, abusive, or that infringes the intellectual property rights of any third party.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service to generate content for the purpose of misleading others about their tax obligations or entitlements.
  • Circumvent or attempt to circumvent any usage limits, access restrictions, or security measures implemented by TaxWhizz.ai.

We reserve the right to suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have violated this Acceptable Use Policy.

7. Intellectual Property

7.1 TaxWhizz.ai’s Intellectual Property

The Service, including but not limited to its software, code, design, user interface, graphics, logos, trademarks, trade names, text, images, AI models, algorithms, and all other content and materials (collectively, “TaxWhizz Content”), is owned by or licensed to TaxWhizz.ai Ltd and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of England and Wales, the United Kingdom, and international jurisdictions.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes. This licence does not include the right to:

  • Modify, adapt, or create derivative works of the TaxWhizz Content;
  • Reproduce, distribute, publicly display, or publicly perform the TaxWhizz Content;
  • Use the TaxWhizz Content for any commercial purpose beyond your own tax planning needs;
  • Remove, alter, or obscure any proprietary notices on the TaxWhizz Content.

7.2 User Content and Data

You retain all ownership rights in the data and content you submit to the Service (“User Content”), including your chat messages, calculation inputs, and any other information you provide. By submitting User Content, you grant TaxWhizz.ai a non-exclusive, worldwide, royalty-free licence to use, process, store, and transmit your User Content solely for the purposes of providing, maintaining, and improving the Service.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not infringe the intellectual property rights or other rights of any third party.

7.3 AI-Generated Output

The AI-generated responses and outputs provided through the Service are produced by our AI systems based on your inputs and our underlying models. While you may use such outputs for your personal or internal business purposes, TaxWhizz.ai makes no claim of ownership over AI-generated outputs. However, TaxWhizz.ai retains all rights in the underlying AI models, algorithms, and training data that produce such outputs.

7.4 Feedback

If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service (“Feedback”), you grant us an irrevocable, perpetual, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Service without any obligation or compensation to you.

8. Limitation of Liability

8.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAXWHIZZ.AI LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business, or anticipated savings;
  • Loss of data or data corruption;
  • Loss of goodwill or reputation;
  • Any tax penalties, interest, surcharges, or additional tax liabilities;
  • Any losses arising from reliance on AI-generated content;
  • Any losses arising from the unavailability or interruption of the Service;

whether arising under contract, tort (including negligence), strict liability, or any other legal theory, even if TaxWhizz.ai has been advised of the possibility of such damages.

8.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF TAXWHIZZ.AI LTD FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO TAXWHIZZ.AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY SHALL NOT EXCEED FIFTY POUNDS STERLING (£50).

8.3 Statutory Rights

Nothing in these Terms shall exclude or limit our liability for (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015.

9. Indemnification

You agree to indemnify, defend, and hold harmless TaxWhizz.ai Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service or any activity under your account;
  • Your violation of these Terms or any applicable law or regulation;
  • Your User Content or any content you submit through the Service;
  • Your infringement of any intellectual property or other right of any third party;
  • Any tax decisions you make based on information obtained through the Service.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@taxwhizz.ai or through your account settings. Termination of your account will result in the cancellation of your subscription (subject to the billing terms in Section 4) and the scheduled deletion of your personal data in accordance with our Privacy Policy.

10.2 Termination by TaxWhizz.ai

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms, including the Acceptable Use Policy;
  • Non-payment of subscription fees;
  • Fraudulent, illegal, or abusive conduct;
  • Extended period of inactivity;
  • Our decision to discontinue the Service or any part thereof.

10.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately. Sections of these Terms that by their nature should survive termination will continue in full force and effect, including but not limited to Sections 5 (AI Disclaimer), 7 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution).

11. Force Majeure

TaxWhizz.ai shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions or orders, strikes, labour disputes, fire, flood, power outages, internet or telecommunications failures, cyberattacks, third-party service provider failures, or changes in applicable law or regulation.

12. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to follow this escalation procedure:

  1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation. You may initiate this process by sending a written description of the dispute to legal@taxwhizz.ai. We will endeavour to respond within fourteen (14) business days.
  2. Mediation: If the dispute is not resolved through negotiation within thirty (30) days, either party may refer the dispute to mediation administered by an agreed-upon mediation service in England. The costs of mediation shall be shared equally between the parties.
  3. Litigation: If the dispute is not resolved through mediation within sixty (60) days of the mediation referral, either party may submit the dispute to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this section shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights or property.

14. Age Restriction

The Service is intended for use by individuals who are at least eighteen (18) years of age. By using the Service, you confirm that you are at least 18 years old. If we learn that a user is under 18, we will promptly terminate their account and delete their personal data.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity, illegality, or unenforceability of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and TaxWhizz.ai with respect to your use of the Service and supersede all prior or contemporaneous agreements, communications, representations, and understandings, whether oral or written, relating to the subject matter hereof.

17. Waiver

No failure or delay by TaxWhizz.ai in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

18. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, to any successor or affiliate without your consent, provided that such assignment does not materially diminish your rights under these Terms.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide you with at least thirty (30) days’ prior notice by posting the updated Terms on our website with a revised “Last updated” date and, where practicable, by sending you an email notification.

Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must discontinue your use of the Service and cancel your subscription before the changes take effect.

20. Notices

All notices and communications under these Terms shall be in writing. Notices to you may be sent to the email address associated with your account. Notices to us should be sent to legal@taxwhizz.ai. Notices shall be deemed received when delivered by email.
